1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Tessara" — Tessara Co., Ltd., a company registered in Thailand, operating from 88 Sathon Nua Road, Silom, Bang Rak, Bangkok 10500.
- "Services" — the consulting services offered by Tessara, including Strategic Advisory, Operational Improvement, and Market Entry Guidance.
- "Client" or "you" — any individual or organisation that engages with Tessara's website or services.
- "Agreement" — these Terms and Conditions together with any specific engagement letter or scope of work agreed between Tessara and the Client.
- "Website" — the website operated by Tessara at tessareena.
- "Content" — all materials, deliverables, reports, and documents produced by Tessara in connection with the Services.
2. Acceptance of Terms
By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services.
To enter into an engagement with Tessara, you must be at least 18 years of age and have legal capacity to enter into binding agreements on behalf of yourself or your organisation.
3. Service Description
Tessara provides professional consulting services in the areas of business strategy, operational improvement, and market entry guidance, primarily for organisations operating in or considering entry into Southeast Asian markets.
The specific scope, deliverables, timeline, and price of each engagement are agreed in writing before work commences. Services are available to clients based in Thailand and internationally. Tessara reserves the right to decline any engagement at its discretion.
Tessara does not provide legal, financial, accounting, or tax advice. Any recommendations should be considered alongside advice from qualified professionals in those fields.
4. User Responsibilities
When using our website, you agree not to:
- Use the website for unlawful purposes or in violation of applicable law
- Attempt to gain unauthorised access to our systems or data
- Transmit spam, malware, or harmful code through the website
- Misrepresent your identity or affiliation when submitting enquiries
- Use automated tools to scrape or extract data from the website without permission
During a consulting engagement, you agree to provide accurate and complete information necessary for Tessara to perform the Services, and to make relevant personnel available for interviews and workshops as required.
5. Intellectual Property
All content on the Tessara website — including text, design, and layout — is the property of Tessara and protected by applicable intellectual property laws. You may not reproduce or distribute it without written permission.
Deliverables produced during a consulting engagement become the property of the Client upon receipt of full payment, subject to any limitations agreed in the engagement letter. Tessara retains the right to use general methodologies and frameworks (not client-specific information) in future work.
You grant Tessara a limited licence to use information provided by you solely for the purpose of delivering the agreed Services.
6. Payment Terms
Fees for Services are as stated in the relevant engagement letter or on our Solutions page. All prices are in Thai Baht (฿) unless otherwise agreed. Payment terms are specified in each engagement letter and typically require a deposit before work commences.
Invoices are payable within 14 days of issue unless otherwise agreed. Late payments may incur interest in accordance with Thai commercial law.
Refunds for consulting engagements that have commenced are considered on a case-by-case basis. Cancellation terms are set out in each individual engagement letter.
7. Service-Specific Terms
Strategic Advisory: Delivered across 4–6 sessions with a written roadmap deliverable. Includes 60 days of follow-up consultation access following the final session. Session scheduling is agreed between parties in advance.
Operational Improvement: Typically spans 3–4 weeks. Requires reasonable access to internal staff and documentation. Deliverable is a prioritised action plan. Implementation is the sole responsibility of the Client.
Market Entry Guidance: Delivered as a phased engagement over 6–8 weeks with interim review points. Scope may be adjusted at agreed review points based on findings. Final deliverable includes a feasibility assessment and go-to-market framework.
8. Disclaimers
Tessara's Services are provided on the basis of professional judgement and information available at the time of the engagement. We do not warrant that recommendations will produce any specific business outcome. Business decisions and their consequences remain the responsibility of the Client.
The Tessara website is provided "as is". We make no representations about the completeness or accuracy of website content and accept no liability for errors or omissions.
9. Limitation of Liability
To the fullest extent permitted by Thai law, Tessara's total liability to any Client in connection with a consulting engagement shall not exceed the total fees paid by that Client for the relevant engagement.
Tessara shall not be liable for indirect, consequential, or incidental losses, loss of profit, or loss of business arising from the use of or reliance on our Services or website content.
10. Confidentiality
Both parties agree to maintain the confidentiality of information shared during a consulting engagement. Specific confidentiality terms are set out in the engagement agreement signed before work begins. Tessara will not disclose client-specific information to third parties without consent, except as required by law.
11. Indemnification
You agree to indemnify and hold harmless Tessara and its advisors from any claims, losses, or damages arising from your breach of these Terms, your misuse of our Services or website, or inaccurate or misleading information provided by you in the course of an engagement.
12. Termination
Either party may terminate a consulting engagement by providing written notice. Termination terms, including notice periods and any applicable fees for work completed, are specified in the engagement letter.
Tessara may suspend or terminate access to the website immediately if we believe you are in breach of these Terms.
13. Governing Law and Disputes
These Terms and any disputes arising from them are governed by the laws of the Kingdom of Thailand. The courts of Bangkok shall have jurisdiction over any disputes that cannot be resolved informally.
Both parties agree to attempt to resolve disputes informally before initiating formal proceedings. In the event of a dispute, the parties will first attempt mediation in good faith.
14. General Provisions
These Terms constitute the entire agreement between Tessara and the Client with respect to use of the website, supplemented by individual engagement letters for consulting services. If any provision is found unenforceable, the remaining provisions continue in full effect.
Tessara's failure to enforce any right under these Terms does not constitute a waiver of that right. You may not assign your rights or obligations under these Terms without Tessara's written consent.
15. Changes to Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect any changes. Continued use of our website after changes are posted constitutes acceptance of the updated Terms. We recommend reviewing this page periodically.
